Any products bought via this website are subject to the terms and conditions below. Please read the conditions and click on the I Agree box on the order form to confirm that YOU have read, understood and agree to the conditions.
Meanings
Steadymed Limited is Registered in England Number 5624532, Steadyco is a trading name of Steadymed Limited. ‘Steadycup’ is a registered trademark of Steadycorp Limited. ‘Steadyco’, ‘Steadycorp’, ‘Table Tools for Toddlers’, ‘the first real trainer cup!’ and ‘mouth friendly’ are trademarks of Steadycorp Limited. 'YOU' The purchaser of the products; 'product' Steadycup; 'in writing' via e-mail, faxed letter or mailed letter; 'consumer' a person buying for personal use and not for purposes related to their trade, business or profession; 'full amount paid' product price, VAT and delivery charge.
The Contract
1. These conditions form the contract for the sale of goods between Steadyco and YOU to the exclusion of any other terms or conditions. This contract is concluded in the English language and is not available in a translated form.
2. Steadyco may from time to time vary these conditions and introduce new products to its product range. The conditions that apply to your order will be those in place on the date of your order.
3. YOU can place an order for products by completing and submitting an order form on this website. Steadyco will confirm acceptance of your order by e-mail and will supply the products in accordance with the order.
4. Steadyco will only accept orders from consumers, and any products purchased are not for re-sale. By accepting these terms and conditions YOU are warranting that YOU are a consumer and that YOU will not offer the products for re-sale.
Description and Quality
5. The products shall be manufactured in accordance with their description on this website, and in accordance with all applicable British and European standards. The products comply with the Plastic Materials and Articles in Contact with Food Regulations 1998.
6. Photos and drawings of the products on this website are representative only.
7. In the event of a product colour being unavailable, Steadyco reserves the right to supply a product of a different colour to that ordered without notice to YOU.
8. Steadyco may from time to time make changes to the products differing from their description on this website: i) in order to comply with any applicable safety or statutory requirements, or ii) changes which will not materially affect the quality or fitness for purpose of the products. This does not affect your statutory rights.
9. The products are designed for serving drinks to toddlers and young children under the supervision of adults. Although the products are manufactured to comply with all applicable UK and EU safety standards, Steadyco strongly advises adults to take care when serving drinks and in particular hot drinks to young children. Whilst the Steadycups are difficult to knock over they are not spill-proof.
Price, Payment and Delivery
10. The price of the products, and the amount due under this contract, shall be that stated on the order form submitted by YOU to Steadyco.
11. YOU represent and warrant that the information provided by YOU in any order is true and accurate and that YOU are duly authorised to use the credit card the details of which you have supplied. YOU authorise Steadyco to deduct payment from the nominated credit card account for the full amount paid.
12. Steadyco shall be entitled to refuse any order placed by YOU at its sole discretion.
13. Products will not be despatched to YOU by Steadyco until full payment of the product price, VAT and delivery charges has been received by Steadyco, and the funds have cleared. Steadyco will then despatch the product within 14 days. Time for delivery shall not be of the essence.
14. The products ordered will be despatched to the address provided by YOU on the order form, via the relevant postal service.
15. YOU must inform Steadyco of any damage to a product in transit in writing within 7 days of receipt. Any products damaged in transit must be returned to Steadyco within 14 days of receipt. Upon receiving any damaged products, Steadyco will replace the product free of charge.
16. If the product is not delivered to YOU within the UK within 14 days, or within Europe within 28 days, of the despatch e-mail being sent to YOU, YOU must inform Steadyco in writing who will investigate. Steadyco has the option to either: i) require the mail delivery agent to deliver, or ii) despatch a replacement product, or iii) refund the full amount paid for the product.
Risk and Ownership
18. Risk of damage or loss of the products shall pass to YOU on delivery or, if YOU fail to take delivery of the products, the time when Steadyco tries to deliver them.
Warranties
19. Steadyco warrants that upon delivery and for a period of 6 months from the date of delivery, the products will be of a satisfactory quality and fit for purpose within the meaning of the Sale of Goods Act 1994.
20. Steadyco shall not be liable for breach of the warranty in clause 19 unless: i) YOU give notice in writing of the defect to Steadyco within 7 days of the time when YOU discover or ought to have discovered the defect, and ii) YOU return the defective product to Steadyco within 14 days of the time when YOU discover or ought to have discovered the defect, and iii) Steadyco is given reasonable time after receiving the defective product to examine such product.
21. Steadyco shall not be in breach of the warranty in clause 19 if: i)YOU use the product after giving notice that it is defective, or ii) the defect arises because YOU have failed to follow Steadyco's written instructions as to storage, use, cleaning or maintenance of the product, or iii) YOU alter or repair the product without Steadyco's prior written consent.
22. If any product does not conform to the warranty in clause 19 Steadyco shall have the option of either: i) replacing the product, or ii) refunding the full amount paid for the product.
Liability
23. Nothing in this clause 23 shall exclude Steadyco's liability for death or personal injury caused by its negligence.
24. The warranty contained in clauses 19 to 22 shall be the extent of Steadyco's liability for defective products. This does not affect your statutory rights.
25. Unless otherwise provided in these conditions and subject to clause 22, the liability of Steadyco for breach of any express or implied term of this Agreement shall be limited to the reasonable cost of remedying any defect in the products or other matter constituting a breach and in those circumstances Steadyco's liability shall not exceed the total amount paid by YOU to Steadyco under these conditions together with any reasonable delivery charges.
26. Notwithstanding the fact that in the UK and Eire Steadyco will not supply the products to businesses, in the event that a business customer purchases the product, Steadyco will not be liable for any of the following losses which may arise by reason of any breach of these conditions or any implied warranty, condition or other term, any representation or any duty of any kind imposed on Steadyco by operation of the law: i) any loss of anticipated profits or expected future business; ii) damage to reputation or goodwill: iii) any damages, costs or expenses payable by that customer to any third party: iv) loss of any order or contract; or v) any consequential loss of any kind.
27. Without prejudice to any other provision of this Agreement, Steadyco will not be in breach of the terms of the contract for any delay in performing, or failure to perform, its obligations under the contract if that delay or failure was due to any cause or circumstance beyond Steadyco's reasonable control.
Returns
28. YOU are entitled to cancel this contract within 7 days of placing the order. Any notice of cancellation of contract shall be sent to Steadyco in writing.
29. If payment has been made before the notice of cancellation of contract has been received by Steadyco, any monies received by Steadyco will be re-imbursed to YOU via the method it was paid within 30 days of receipt of the notice of cancellation of contract.
30. Any products despatched to YOU by Steadyco before the notice of cancellation of contract is received shall be returned to Steadyco by YOU within 14 days of the earliest of either:
i) the notice of cancellation of contract or
ii) YOU receiving the goods.
31. Save in respect of defective products, Steadyco shall not be liable for any costs incurred by YOU in returning products to Steadyco, and in any event Steadyco will only be liable for the value of the products and the reasonable costs of YOU returning the same to Steadyco.

General
33. This contract shall be governed and construed under English law and the parties submit to the exclusive jurisdiction of the English courts through any disputes between them of any kind. This clause shall not affect the statutory rights of consumers to bring claims in a domestic court where applicable.
34. If any of these conditions is held by any competent authority to be unlawful, invalid or unenforceable in whole or in part then the validity of the other provisions of these conditions and the remainder of the provisions in question shall not be affected thereby and shall continue to be valid and enforceable to the fullest extent permitted by law.
35. You may not transfer, assign or sub-contract any of your obligations under the contract without Steadyco's prior consent in writing.
